  • El-Aref International Law Office advised consortium members consisting of Honk Kong Oil and Gas Company and Energy companies in the United States, in the joint venture agreement. The two companies intend to form a $358 Million joint venture (JV). The joint venture would enable the consortium to establish a scalable and profitable position in oil and gas. The deal would also enhance both companies’ growth prospects and market position in the retail and commercial fuels businesses in Iraq.  This joint venture negotiation demonstrates consortium members commitment to Iraq and the firm was delighted to be chosen to work with the American consortium. The firm advised on the major aspects of the project, including joint venture investments, project financing, international trade aspect, EPC contract with the Iraq Ministry of Energy.  The firm advised the joint venturers on filing the notifications required by the Hart‐Scott‐Rodino Antitrust Improvements Act of 1976, as amended the HSR Act, and advised the joint venturers to comply to the Foreign Trade Antitrust Improvements Act of 1982 (FTAIA), 15 U.S.C.A § 6a & §45a, Sherman Act and the FTC Act which applies to anticompetitive conduct involving export commerce or commerce within or among foreign nations on conducts that have a direct, substantial, and reasonably foreseeable effect on domestic commerce, import commerce, or the export commerce of a business entity located in the United States.
